Case study №4 – due diligence of wine producer for a foreign investor

Client

Not long ago we completed a due diligence engagement for a foreign investor (private company based in Romania) looking to acquire a midsized local wine manufacturer and merchant, as part of their European production and distribution network.

Challenge

The client requested a detailed due diligence analysis and report for 3 different potential acquisition targets in the sector. The final reports were meant to be used for decision-making purposes and only one target was to be selected for acquisition. The investment range was EUR 8-17 million.

Approach

We approached all the targets with letters of intent. Our team audited the company’s tax, financial and banking records for the last 5 years. Customer contracts and distribution network were mapped-out in detail and scrutinised. We focused particularly on potential hidden liabilities and available cash balances. The supply chain and manufacturing operations were documented and analysed for deficiencies. Organisational structure, fixed costs and personnel allocation were reviewed for potential acquisition synergies. We carried out several site visits for fixed assets and inventory review and analysis.

Results

The task was completed within 25 business days, in which time we managed to perform all necessary audit procedures and analysis, as well as produce a final report. The client deliverables included market and industry analysis, methodology and performed activities, results and recommendations, as well as multiple schedules and appendices detailing our efforts and quantifying our findings for all 3 targets. Based on our recommendations the investor selected and acquired one of the entities – the deal was prepared and executed under our supervision.

Case study №3 – M&A deal in the renewable energy segment

Client

A Bulgarian private company, operating in the renewables energy sector (solar panel electricity generation with 13.6 MW capacity) gave us mandate to complete their sell-side M&A transaction. The entity’s average revenue at the time (for the last 3 years) was BGN 7.4 million. The capital ownership structure was the following:

  • A: Majority owner – 78%
  • B: Mid-size interest – 17%
  • C: Minority interest – 5%

Challenge

The client was looking for an exit strategy for 87% of their stake in the business, which they had been developing for nearly 8 years. The entity’s key asset (apart from all the property, plant and equipment items on their balance sheet) was the contract they had signed (upon incorporation) with the energy authorities, fixing their output electricity prices for 20 years at 6X the average MW market price for electricity from conventional sources. This deal was part of the government’s green energy subsidy policy at the time.

We offered (and the client accepted) a variable and comprehensive fee structure (based on final sale price and transaction completion deadline) for our services.

Approach

As part of managing the sell-side process and completing the mandate, we executed the following main steps:

  • Organisation and preparation (1)
  • 1st and 2nd round bidding (2)
  • Negotiations and deal closing (3)

(1) Initially we conducted multiple interviews with the client to determine their objectives and map out the sale process, we performed due diligence and valuation analysis for modelling the deal, we selected a potential buyer pool (both local and foreign companies) and prepared the marketing materials (Teaser and Info Memorandum), finally we prepared the confidentiality agreement (CA) for the bidding rounds

(2) Subsequently we contacted all targets per buyer pool, execute CAs with the interested parties and distributed the marketing materials to them, along with bidding procedure letters detailing indicative price, deadlines and deal structure. As part of this step we also prepared the management presentations of the business and set up data rooms for subsequent due diligence purposes. Financing package for the deal was not requested by the client as part of mandate. Once initial bids were received we moved on to conducting management presentations and site visits, as well as providing data room access, to all initial bid parties. We then provided draft purchases and sale agreement (PSA) and received final bids from candidates.

(3) Final bids were reviewed, analysed and discussed with the client – based on our recommendation the client authorised us to entered into final negotiations stage with 2 prospective buyers. The winning bid was selected and approved by the owners. We obtained all necessary approvals from the energy administration and closed the deal.

Results

The entire process took nearly 18 weeks to complete (about 90 business days) – the deal was completed approx. 10 days ahead of schedule. Throughout this engagement we delivered multiple marketing materials, contractual agreements, process maps, analysis and recommendations reports, business presentations, as well as interviews and negotiations advisory and support. The deal was successfully completed. The shareholders received a total of EUR 11.7 million in cash for 87% stake in the enterprise. The wining bidder in this transaction was an Italian energy company with international solar plant holdings in 13 countries (across Europe, Africa and Asia), worth over EUR 460 million. The remaining 13% of the entity the founders kept as passive interest (dividend-only source); however, their were required to stay on in management and advisory capacity for the next 30 months, which was stipulated per the PSA.

Case study №2 – company valuation in the auto industry

Client

We recently completed an assignment for a local private company operating within the agricultural sector. The entity’s revenue averaged out at approx. BGN 5 million for the last 3 years. Revenue split: 96% produce and 4% other services.

We undertook a local private company valuation engagement in the automotive parts and components industry. The entity’s revenue averaged out at approx. BGN 16.3 million for the last 3 years. Revenue split: 28% manufactured parts; 70% resale and distribution; 2% other services

Challenge

The client was considering attracting a strategic investor or financial donor for the purpose of exploring new foreign markets and developing the required supply chains to service those markets.

Approach

Our experts provided an in-depth analysis of the general economic environment (on global, European and local level), as well as detailed review of key sector fundamentals. We applied a combination of DCF and market multiples approach the derive the entity’s intrinsic value, which the client used in pursuing investor-seeking strategy to fund expansion. As part of deriving the forecasted future cashflows (used in the DCF model) of the business, we applied different statistical techniques and trend analysis to estimate expected future revenues and margins (in the context of current and forecasted industry fundamentals). The company’s cost of capital was derived using the popular and very comprehensive CAP-model. In terms of applying the market multiples approach, we carefully selected a mixture of local and European comparable listed companies for deriving (through regression analysis) a basket of 5 synthetic multiples (widely used investment valuation metrics), which were proportionally applied to valuing the entity’s capital.

Results

We completed and delivered (incl. client presentation of findings) the valuation analysis and report within 4 business days. The company was range-valued at BGN 8-10 million. Based on this valuation the entity attracted a sizable pool of potential investors and eventually closed a strategic-investor transaction 35% equity at BGN 9.8 million final company valuation.

Case study №1 – financial analysis in the agricultural sector

Client

We recently completed an assignment for a local private company operating within the agricultural sector. The entity’s revenue averaged out at approx. BGN 5 million for the last 3 years. Revenue split: 96% produce and 4% other services.

Challenge

The client required an extensive and in-depth financial analysis for the purpose of assessing performance and financial position for the last 5 years. The information was required for management purposes – mainly, optimisation for financial effectiveness and review of financial risks.

The analysis covered different financial and operational aspect of the business, including profitability, efficiency, financial stability, capital structure, cost of capital, finance and business risk, etc.

Results

We completed and delivered the comprehensive financial analysis report (of over 60 pages) within 5 business days. It was noted that the company had some particular issues around balance sheet effectiveness, working capital and financial leverage. The report presented several recommendations as to improving those metrics.
